Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, platforms, and tools provided by Momo Studio ("we", "us", or "our"), including our hospitality technology platforms, Google Ads management services, and WhatsApp Business API integrations. By using our services, you agree to be bound by these Terms.

1. Services

Momo Studio provides the following services to hospitality businesses and their customers:

  • Hospitality technology platforms: Property management systems, restaurant technology, and travel platforms with integrated messaging and conversational AI.
  • WhatsApp Business API integration: Automated guest communication, booking confirmations, order updates, and AI-powered chatbot services delivered via WhatsApp.
  • Google Ads management: We use the Google Ads API to create, manage, and optimise advertising campaigns on behalf of our hospitality clients. This includes campaign setup, bid management, performance reporting, and keyword optimisation to help hotels, restaurants, and travel operators reach potential customers through Google's advertising platforms.

2. Eligibility

You must be at least 16 years of age to use our services. By using our services, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

3. User Accounts

Some of our services require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account.

4. Acceptable Use

When using our services, you agree not to:

  • Use the services for any unlawful purpose or in violation of any applicable laws or regulations.
  • Send unsolicited or unauthorised messages, spam, or promotional content through our messaging platforms.
  • Attempt to gain unauthorised access to our systems, networks, or other users' accounts.
  • Interfere with or disrupt the integrity or performance of our services.
  • Reverse-engineer, decompile, or disassemble any part of our software or platforms.
  • Use our services to collect, store, or process personal data in violation of applicable data protection laws.

5. Google Ads API Services

Where we manage Google Ads campaigns on your behalf using the Google Ads API:

  • Authorisation: You authorise us to access and manage your Google Ads account(s) for the purpose of creating, modifying, and optimising advertising campaigns.
  • Data handling: We access Google Ads data (including campaign performance metrics, keyword data, and billing information) solely for the purpose of managing and reporting on your campaigns. We do not sell or share this data with third parties except as required to deliver our services.
  • Compliance: Our use of the Google Ads API is subject to the Google API Services User Data Policy, including the Limited Use requirements. We only use Google Ads data to provide and improve our advertising management services for you.
  • Accuracy: While we endeavour to optimise campaign performance, we do not guarantee specific advertising results, click-through rates, or return on ad spend.
  • Billing: You are responsible for all advertising costs charged by Google. Our service fees are separate from Google's advertising charges.

6. Intellectual Property

All content, software, designs, and materials provided through our services are owned by Momo Studio or our licensors and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from our materials without our prior written consent.

7. Data Protection

Our collection and use of personal data is governed by our Privacy Policy. By using our services, you acknowledge that you have read and understood our Privacy Policy. Where we process personal data on behalf of a business client, we act as a data processor and process data only in accordance with the client's instructions and applicable data protection laws.

8. Third-Party Services

Our platforms integrate with third-party services including WhatsApp Business API (Meta), Google Ads API (Google), cloud hosting providers, and AI language model providers. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or availability of third-party services.

9. Service Availability

We strive to maintain the availability and reliability of our services, but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of our services at any time with reasonable notice where practicable.

10. Limitation of Liability

To the maximum extent permitted by law, Momo Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services. Our total liability for any claim arising from these Terms shall not exceed the fees paid by you to us in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Momo Studio, its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate the use of services at any time. We reserve the right to suspend or terminate your access to our services if you violate these Terms. Upon termination, your right to use our services ceases immediately, and we may delete your account data in accordance with our data retention policies.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes are posted constitutes your acceptance of the revised Terms.
